Terms of Service

By accessing or using Rally ("the Service"), operated by Zatty LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of the updated Terms.

Rally is a social coordination application that helps friend groups find mutually available weekends, propose plans, and confirm events. The Service includes availability tracking, AI-powered proposal generation, group voting, and calendar integration features.

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms.

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Harass, abuse, threaten, or harm other users.
• Post or transmit content that is defamatory, obscene, or offensive.
• Spam, phish, or engage in any deceptive practices.
• Attempt to gain unauthorized access to any part of the Service or its systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools to scrape, crawl, or extract data from the Service.
• Impersonate any person or entity.

You retain ownership of any content you submit to the Service (display names, group names, availability data). By submitting content, you grant Zatty LLC a non-exclusive, royalty-free, worldwide license to use, store, and display that content solely for the purpose of providing the Service.

You represent that you have all necessary rights to submit the content and that it does not violate any third-party rights.

When you create or join a group, your display name and availability data become visible to other group members. Group organizers may remove members from groups. You may leave any group at any time. Group invite links expire after 7 days or 25 uses, whichever comes first.

Rally uses algorithmic processing to identify optimal weekends and generate proposals. These suggestions are automated and may not always reflect the best outcome for your group. Rally makes no guarantee that AI proposals will be generated, accurate, or satisfactory. Proposals are suggestions only — final decisions are made by group members through the voting system.

The Service and its original content (excluding user-submitted content), features, and functionality are and will remain the exclusive property of Zatty LLC. The Rally name, logo, and all related marks are trademarks of Zatty LLC. You may not use these marks without our prior written consent.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

The Service may integrate with third-party services (calendar applications, authentication providers). Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices of third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZATTY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED $100 USD.

You agree to indemnify, defend, and hold harmless Zatty LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service or violation of these Terms.

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New York.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date and, where appropriate, notifying you via email or in-app notification. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
